Preamble

This e-commerce website, whose web address is https://www.lovewhatlove.com (hereinafter, the

“Website” or the “Site”), has been prepared by DECA LAB S.r.l., a limited liability company with

share capital of €10,000, registered office at Corso Marconi 9, Fermo, registered with REA Fermo

no. 293255, VAT no. 02526240441.

Deca Lab S.r.l. manages, through the Site, the retail sale of beauty products, perfumes and

cosmetics (hereinafter, the “Products”). Sales are directed exclusively to end consumers, namely

individuals purchasing on the Site for purposes unrelated to any professional or business activity

they may carry out.

This document includes the General Terms and Conditions of Sale (hereinafter, the “GTCs”), which

apply, without limitation or condition, to all sales of Products on the Site, and are intended to define

the rights and obligations of the parties with respect to the terms and methods of sale of the

Products by the seller (hereinafter, “DECA LAB” or the “Company”) to the end consumer

(hereinafter, the “Customer”).

The Customer represents and warrants that purchasing Products on DECA LAB’s Site is not done in

the course of a commercial activity and is intended for strictly personal use.

Submission by the Customer of a purchase order (the “Order”) for any product and/or service

offered for sale on the Site entails full and unconditional acceptance of these Terms and Conditions

of Sale. DECA LAB reserves the right to amend the Terms and Conditions of Sale at any time.

Article 1 – Products

1.1. The Products available on the Site are intended strictly for personal use. The Customer is not

authorized to sell or resell Products purchased from DECA LAB.

1.2. Before submitting an Order, the Customer may review on the Site the essential characteristics

of the Products they intend to order as well as all mandatory information required by Italian law

(Art. 49 of Legislative Decree No. 206 of 6 September 2005, Consumer Code), including, by way

of example only, information relating to the Company and/or its shareholders, the price (including

taxes and shipping costs), conditions and terms of withdrawal and/or returns, and the authorized

payment methods.

1.3. Although DECA LAB exercises the utmost care in presenting and describing the Products and

in publishing and updating related information on the Site, some inaccuracies, errors or omissions

may occur. In such cases, DECA LAB cannot be held liable and reserves the right to correct any

such inaccuracies, errors or omissions as soon as it becomes aware of them, without prior notice.

Such corrections do not prejudice the Customer’s ability to cancel the Order or exercise the right of

withdrawal pursuant to Art. 7 of this document.

1.4. DECA LAB may change at any time the range of Products offered for sale on the Site and

expressly reserves the right to add new Products, to remove in whole or in part Products sold or

displayed on the Site, to modify their presentation, or to discontinue their marketing, without any

obligation to give prior notice to the Customer.

1.5. DECA LAB undertakes not to make any changes to the price or description of any Product

relating to an Order after acceptance of the Order submitted by the Customer.Article 2 – Product availability

2.1. The Products offered for sale on DECA LAB’s Site are available for purchase by Customers

while stocks last. Information regarding actual Product availability, as well as delivery times and

invoicing methods, is provided to the Customer when the Order confirmation e-mail is sent.

2.2. Errors or changes may exceptionally occur, especially where multiple Customers purchase the

same Product at the same time. DECA LAB shall in no way be liable for the temporary or

permanent unavailability of one or more Products. If the requested Products are unavailable before

the Order confirmation e-mail is sent, DECA LAB undertakes not to charge the Customer the

corresponding price. If the Order has already been submitted and payment has been made for items

that are no longer available, DECA LAB will refund the Customer the full amount paid for those

items.

2.3. Even after DECA LAB has sent the Order confirmation e-mail, partial or total unavailability of

the goods may occur. In such event, the Customer will be promptly contacted by Customer Care via

e-mail and may choose either to accept delivery of only the available Products—receiving a refund

for those unavailable—or to request cancellation of the Order, with a consequent refund of any

amounts already paid, by notifying DECA LAB via e-mail.

Article 3 – Product prices

3.1. The prices of the Products offered for sale on DECA LAB’s Site are indicated in Euro and are

the prices (inclusive of VAT) in force at the time the Customer submits the Order, without regard to

any increases or decreases, including promotional changes, occurring thereafter.

3.2. Product prices do not include shipping costs, which will be determined and charged to the

Customer at the time the Order is placed, in addition to the Product price, and will be displayed in

the Order summary before confirmation is requested. Shipping costs vary according to the delivery

address indicated and the shipping method selected by the Customer. Shipping costs are described

below in these GTCs at Art. 6.2.

3.3. The Company undertakes to ensure that prices and shipping costs indicated on the Site are

correct at the time the Customer submits the Order. If any errors or inaccuracies occur, the

Customer will be contacted appropriately by DECA LAB Customer Care via e-mail and will have

the option to confirm the Order at the corrected price or shipping cost, or to request cancellation of

the Order with a full refund of the amount paid.

Article 4 – Orders

4.1. Each Order submitted by the Customer through the Site implies acknowledgment of all

information provided to them during the purchase process and full acceptance of these Terms and

Conditions of Sale, without such acceptance being conditioned upon the Customer’s handwritten

signature. Submission of the Order also entails the Customer’s express acknowledgment of the

obligation to pay the price and other amounts due under the GTCs.

4.2. All Orders placed on the Site are subject to completion of a form to provide certain personal

data. The Customer will therefore be asked to provide information including:

• personal details;

• e-mail address;

• delivery address for the Products;• billing address;

• telephone number at which they can be contacted to be informed, if necessary, of the

delivery date.

The data provided by the Customer to the Company must be complete, accurate and up to

date to allow proper processing of the Order. In the event of incomplete or inaccurate

information, DECA LAB reserves the right to cancel the Order together with the payment.

4.3. Receipt and processing of the Order on the Site is strictly subject to compliance with the

procedure described below and occurs through a sequence of steps that the Customer must

follow to properly finalize their Order:

• On DECA LAB’s Site the Customer may select the Products of their choice by adding them

to the cart using the “Add to cart” button. Once all items to be purchased have been selected,

the Customer may access their cart by clicking the “View cart” button, which opens a

summary page with all personal data and the purchase Order. If the Customer does not yet

have an LWL COSMETICS account, they will be asked either to create a new account or to

complete the data form for identification purposes;

• The Order page contains information on the main characteristics of each Product ordered

and its price (including VAT), the payment method selected for the purchase, the conditions

and timing for delivery of the Products, the charges for delivery and transport, as well as

references to the general terms and conditions for returning products purchased online and a

link to these General Terms and Conditions of Sale;

• Before submitting the Order, the Customer will be asked to amend and correct any possible

errors made while completing the fields and to accept the General Terms and Conditions of

Sale, with the option to print a copy using the print function or save a copy for personal use;

• Once the above information has been entered and validated, the Customer will select the

“Confirm” button to submit the Order to DECA LAB.

4.4. Upon receipt of the Order, DECA LAB will automatically send an e-mail

acknowledging receipt of the order (“Order Receipt”), which does not constitute acceptance,

but merely confirms receipt of the purchase Order and its submission to the procedure for

checking the data provided by the Customer and the availability of the requested Products.

The sales contract with DECA LAB will be concluded only when the Customer receives a

second e-mail accepting the Order, containing a summary of all information relating to that

Order, including the general and specific conditions applicable to the contract, the price of

the goods purchased, the chosen means of payment, transport costs, applicable taxes and

duties, notice of the right of withdrawal, and the shipping address to which the goods will be

sent (hereinafter, “Order Acceptance”).

4.5. The Customer is free to fill their cart with Products, remove an item they no longer wish

to purchase, change the quantities ordered, or add Products until Order Acceptance. The

Order may be cancelled without charge before receipt of the Order Acceptance e-mail,

unless it has already been prepared for shipping. In any case, the right of withdrawal

remains as set out in Art. 7 below.

Article 5 – Payment methods

5.1. Each payment by the Customer may be made only by one of the methods indicated on DECA

LAB’s Site. The Customer warrants to the Company that they have the necessary authorizations touse the payment method chosen for the Order at the time it is submitted.

5.2. The accepted means of payment are as follows:

• Visa and Mastercard credit cards

• PayPal account

The Customer is redirected to the PayPal website to complete payment.

5.3. For payments made by credit card, the Customer will receive an initial Order Receipt e-

mail indicating that the amount has merely been reserved on the credit card. The actual

charge will occur when the Order is complete and ready for shipment, i.e., when DECA

LAB sends the Customer the Order Acceptance e-mail. If a Product becomes unavailable

after receipt of the Order and reservation of the amount on the credit card, DECA LAB will

take the necessary steps with the payment processor to reverse the transaction relating to the

unavailable Product.

5.4. Electronic payments will be made in accordance with banking security standards, using

a banking payment platform based on the SSL security system. The payment data (credit

card number and expiry date) provided by the Customer cannot be intercepted by third

parties. By providing their payment details, the Customer agrees in advance and

unconditionally to the secure execution of the transaction by DECA LAB, authorizing their

bank to debit their account on the basis of the records or statements transmitted by the

Company, even in the absence of invoices signed by the cardholder.

5.5. In the event of non-payment, partial payment, or late payment, DECA LAB reserves the

right, at its discretion and at any time, to suspend or cancel performance of an Order and/or

shipment of the ordered Products, promptly notifying the Customer by e-mail.

5.6. For each Order, DECA LAB will provide the Customer with the related purchase

receipt by sending it via e-mail to the address indicated by the Customer when registering on

the Site. Any complaints must be communicated to the Company by e-mail within 14 days

of receipt of the receipt. Otherwise, receipts shall be deemed accepted without reservation.

The Customer may request an invoice for their Order at the time the Order is submitted, by

providing the invoicing details directly in the form provided before checkout.

Article 6 – Shipping

6.1. Shipping methods

• Shipments are made via courier.

• The Order will be shipped once full payment has been received and collected.

• Delivery takes effect when the Products are collected by the courier, who will deliver the

ordered Product to the Customer together with the delivery note.

• Goods shipped to the Customer by DECA LAB are checked and handed over to the courier

intact and free of defects. DECA LAB disclaims any liability for delays or damage

attributable to the carrier’s fault. Upon receipt, the Customer must check the conformity and

integrity of the shipped Products and verify that the package has not been damaged, is not

wet, and has not otherwise been tampered with in its sealing. If otherwise, the Customer

must note any reservations and remarks on the delivery note and immediately notify DECA

LAB by e-mail to ritual@lovewhatlove.it, as provided in Art. 8 of this document. In the

absence of reservations raised by the Customer, DECA LAB will presume conformity and

integrity of the delivered Products.• Shipments will be made based on availability and in the order in which Orders are received.

Orders may be cancelled in the event of insufficient stock.

6.2. Delivery times and costs

• Shipping is free for orders over €40. For purchases below this threshold, a charge of €5.90

applies for shipments throughout Italy.

• Shipping to all European territories has a flat cost of €21.90 regardless of order amount.

• Products will be delivered Monday to Friday, from 9:00 a.m. to 6:00 p.m. Delivery will take

place within 72 hours (5 additional business days outside Italy) after the Order Acceptance

e-mail is sent, Monday to Friday (excluding public holidays).

• The Customer will receive a notification e-mail or SMS when the Order is handed over to

the courier, including a link to track the shipment.

• Delivery times may be longer in less accessible areas: 2 to 3 business days for islands and 2

to 6 business days for more remote areas.

• In the exceptional event of insufficient stock, the Customer will be promptly contacted by

LWL COSMETICS Customer Care. The Customer may choose to accept partial delivery

with a refund of the purchase price of undelivered Products, or cancel the Order with a full

refund of the purchase price.

• DECA LAB undertakes to inform the Customer, within a reasonable time, in the event of

force majeure likely to disrupt or hinder delivery of the ordered Products.

Article 7 – Right of withdrawal and returns

7.1. Terms and effects of exercising the right of withdrawal

• Pursuant to Article 52 of the Consumer Code, the Customer has the right to withdraw,

without penalty and without stating any reason, within 14 (fourteen) days from acquiring

physical possession of the goods. In the case of the purchase of multiple goods ordered by

the Customer in a single order and delivered separately, the period runs from the day on

which the Customer acquires physical possession of the last good.

• If the Customer exercises the right of withdrawal under this Article, following the

procedures described below in point 7.2 for returning the Products, DECA LAB shall refund

all sums paid by the Customer, including delivery costs, except for any additional costs

resulting from the Customer’s choice of a delivery method other than the least expensive

standard delivery offered by DECA LAB.

• The refund to the Customer will be made using the same means of payment used at the time

of purchase, unless the Customer has expressly agreed otherwise, provided that the

Customer does not incur any fees as a result of the refund.

• The Customer will be reimbursed without undue delay and in any case no later than 14

(fourteen) days from the date on which the Customer has notified the Company of their

intention to withdraw from the contract, without prejudice to DECA LAB’s right to withholdthe refund until it has received the Products or until the Customer has provided proof of

having shipped the goods subject to the Order (whichever occurs first).

• DECA LAB grants its Customers the option to withdraw from the purchase contract,

without cause and without penalties, even beyond the statutory period indicated above, in

the case of non-conforming, defective or damaged products, in accordance with the

procedures set out in Art. 8 of these Terms and Conditions of Sale.

7.2. Procedures for exercising the right of withdrawal

• To exercise the right of withdrawal, the Customer must inform DECA LAB of their decision

to withdraw from this contract using the standard form—valid for all EU countries—

attached to Legislative Decree No. 21 of 12 February 2014 (Annex B) and available at

http://www.euroconsumatori.org. Alternatively, the Customer may notify DECA LAB by

sending an explicit written declaration via e-mail to ritual@lovewhatlove.it, stating the

intention to withdraw from the purchase and specifying the Products for which the

withdrawal is to be exercised.

• Compliance with the 14 (fourteen)-day period for exercising the right of withdrawal is

ensured by sending the above communication before the withdrawal period expires.

• Products may be returned by the Customer only with the tamper-evident seal intact, as proof

of their substantial integrity. Opening beauty and/or personal care products renders them

unsuitable for further commercialization; therefore, DECA LAB reserves the right to refuse

return of cosmetic products lacking the aforesaid seal or bearing an altered seal.

• The return of Products must take place without undue delay and in any case no later than 14

(fourteen) days from the date on which the Customer communicated the decision to

withdraw from this contract. This deadline is met if the Customer ships the goods before the

14 (fourteen)-day period expires.

• The direct costs and methods of returning the Products are borne exclusively by the

Customer pursuant to Art. 57(1) of the Consumer Code. The cost is estimated to be up to

approximately €50 depending on the shipping method chosen and the weight of the parcel.

• The Customer will be liable only for any diminished value of the Products resulting from

handling other than what is necessary to establish the nature, characteristics and functioning

of the goods.

Article 8 – Warranty and non-conforming, defective or

damaged Products

8.1. The Consumer Code provides, for the protection of consumers, a legal guarantee of conformity

of consumer goods, under which the seller is liable to the consumer for any lack of conformity

existing at the time of delivery of the good, where such lack of conformity becomes apparent within

two years of delivery. In the event of a lack of conformity, pursuant to Arts. 130 and 132 of the

Consumer Code, the Customer is entitled to have the Product brought into conformity free of

charge by repair or replacement, or to an appropriate price reduction or termination of the contract.

The Customer forfeits these rights if they fail to notify DECA LAB of the lack of conformity within

two months from the date on which they discovered it. The action to enforce defects is in any casetime-barred 26 months after delivery of the Products.

8.2. In the event of irregularities in the parcel (damaged or opened package) and/or the ordered

Products (defective or damaged products), the Customer must report the shortage, defect, non-

conformity or damage of the purchased Products to LWL COSMETICS Customer Care by e-mail to

ritual@lovewhatlove.it. LWL COSMETICS Customer Care will inform the Customer of the

procedure to follow to return defective or damaged Products and, once received, will verify that

such Products are indeed defective, damaged or not as described on the Site.

• If the verification is positive, DECA LAB will replace the defective, damaged or non-

conforming Product within 30 (thirty) business days of receiving the goods. If replacement

is not possible within that period, DECA LAB will refund the amount paid by the Customer

for the purchase of the goods. The price refund will be made within 30 (thirty) business days

from the date the goods are received.

• If, following inspection, DECA LAB considers that the alleged defects, damages or non-

conformities of the returned Products are not present, the Customer will not be entitled to a

refund and the Products will be returned to them.

Article 9 – Customer obligations

9.1. The Customer undertakes to pay the amount for Products purchased online in accordance with

the methods and timeframes indicated in these General Terms and Conditions of Sale.

9.2. The Customer undertakes to print and keep a copy of these GTCs—expressly accepted prior to

completing the Order—once the purchase procedure on the Site has been completed.

9.3. The Customer undertakes not to enter false data during the LWL COSMETICS account

creation procedure or while completing the data form. The Company is discharged from any

liability arising from the issuance of incorrect tax documents due to inaccurate data provided by the

Customer.

Article 10 – Limitations of liability

10.1. The Customer is personally responsible for arranging the IT and telecommunications means

that allow access to the Site. DECA LAB assumes no liability for interruptions, delays or the

temporary inability to access the Site due to maintenance work, technical failures, force majeure,

acts of third parties or circumstances of any kind beyond the Company’s control.

10.2. Under no circumstances shall DECA LAB be held liable for damages, losses or costs incurred

by the Customer as a result of using the Site. DECA LAB disclaims all liability for direct and

indirect damages, regardless of cause, origin or nature, arising from the use or inability to use the

Site, as well as from reliance on any information directly or indirectly originating from the Site

itself, including costs resulting from imprudent purchases of goods offered on the Site, loss of

profit, clientele, data or other intangible losses.

10.3. DECA LAB makes no warranties of any kind, express or implied, as to the integrity, accuracy,

timeliness, non-infringement, availability, reliability and completeness of the information on the

Site and/or its suitability for any particular use intended by the Customer. Nor can the Company be

held liable for any technical or other inaccuracies that may be contained on the Site where the

information has been provided by third parties and has been verified by DECA LAB according to

standards of ordinary diligence.

10.4. In cases of fraud or unlawful use of credit cards and other payment methods used to purchase

Products on the Site, DECA LAB cannot be held liable if it demonstrates that it has taken all

necessary and possible measures in accordance with ordinary diligence.10.5. If DECA LAB’s liability is invoked due to non-performance or improper performance of its

obligations, such liability shall, by express agreement, be limited to the amount of the Order paid by

the Customer to DECA LAB.

Article 11 – Retention of title

DECA LAB shall retain title to the Products ordered on the Site until the Customer has paid the full

amount of the Order, including shipping costs and taxes.

Article 12 – Intellectual property

12.1. The Customer acknowledges that DECA LAB’s Site contains confidential information

protected by intellectual property laws, and acknowledges and accepts that DECA LAB S.r.l. is the

owner of the LWL COSMETICS trademark and all related rights.

12.2. The Customer shall not engage in any activity aimed at infringing DECA LAB’s rights in its

trademarks and/or logos, including, by way of example, copying, reproducing, publishing,

modifying, creating derivative works, or otherwise exploiting the Site or any part of its content, or

using the trademarks and/or logos contained therein without DECA LAB’s express authorization.

12.3. DECA LAB reserves the right to seek damages in the event of trademark counterfeiting and/or

any infringement of its intellectual property rights.

Article 13 – Privacy and personal data processing

DECA LAB collects and processes the Customer’s personal data in order to provide its products

and services in accordance with these General Terms and Conditions of Sale. All personal data are

processed in compliance with applicable data protection laws.

Article 14 – Governing law and jurisdiction

14.1. All contractual relations between the parties and these Terms and Conditions are governed by

Italian law.

14.2. For any dispute arising in connection with the application, interpretation, performance or

termination of these Terms and Conditions and/or the contract concluded between the Customer and

DECA LAB, the court having jurisdiction shall be that of the Customer’s place of residence or

elected domicile.

Article 15 – Online dispute resolution

Pursuant to and for the purposes of Article 14 of EU Regulation No. 524/2013, consumers resident

in EU Member States are informed that disputes relating to these General Terms and Conditions of

Sale and to the online services offered by the Site may be resolved through the Online Dispute

Resolution (ODR) procedure established by the European Commission, available at: https://

webgate.ec.europa.eu/odr/.

In accordance with the above legislation, it is also communicated that DECA LAB S.r.l.’s e-mail

address is decalab@yahoo.com and its certified e-mail (PEC) address is decalab@pec.it.Article 16 – Validity and amendments to the General Terms

and Conditions of Sale

16.1. Should any provision of these General Terms and Conditions of Sale be declared invalid or

ineffective, in whole or in part, due to a legislative change or a court ruling, the remaining

provisions and the other rights and obligations arising from these GTCs shall remain unchanged and

fully enforceable.

16.2. DECA LAB reserves the right to amend and update these General Terms and Conditions of

Sale at any time and without prior notice. If the Customer does not intend to accept such

amendments, they must immediately discontinue access to and use of the Site. Continued access to

and use of the Site after the amendments to the Terms and Conditions have been introduced

constitute tacit acceptance thereof by the Customer. Amendments will not, however, apply to Orders

already submitted and accepted by DECA LAB.
